SECL IPO: Coal India to Sell 10% Stake via DRHP Filing
South Eastern Coalfields Ltd (SECL), a wholly owned subsidiary of Coal India Ltd, has filed its Draft Red Herring Prospectus (DRHP) with the Securities and Exchange Board of India (SEBI) for an initial public offering. The proposed issue is a pure offer for sale (OFS): Coal India will sell up to 66.81 crore equity shares, equal to 10% of SECL, and the company itself will receive no fresh capital from the offer.
The DRHP is dated 1 November 2026 and was filed with SEBI, BSE and NSE, Coal India said in a regulatory filing on 2 November. The price band, issue size in rupees and subscription dates have not yet been announced — those will follow SEBI's observations and the filing of the red herring prospectus. A Bloomberg report cited by financial press puts the potential raise at up to $800 million, but that figure is unconfirmed and should be treated as market-reported, not official.

What Is SECL? Business and Scale
Incorporated in 1985 and headquartered in Bilaspur, Chhattisgarh, SECL is a Miniratna Category-I central public sector enterprise (status conferred on 15 March 2007) and Coal India's second-largest coal-producing subsidiary. Its mines sit in the Korba, Mand-Raigarh and Central India coalfields across Chhattisgarh and Madhya Pradesh.
- Production: 176.29 million tonnes in FY26, up 5.25% from 167.49 million tonnes in FY25 — 16.94% of India's total coal production and 22.95% of Coal India's output.
- Mines: 53 producing mines as of 30 September 2026 — 19 opencast and 34 underground — across 13 operating areas. Its Gevra and Kusmunda mines in Chhattisgarh rank among the world's largest coal mines.
- Reserves and resources: audited coal reserves of 4.61 billion tonnes, put at roughly 26 years of production at FY26 levels; total geological resources of about 47.55 billion tonnes as of 1 April 2026, around 11.50% of India's total, of which 10.93 billion tonnes are projectised.
- Rail subsidiaries: two majority-owned rail joint ventures with IRCON and CSIDCL — Chhattisgarh East Railway Ltd and Chhattisgarh East-West Railway Ltd — supporting coal evacuation.
SECL Financials: Revenue, Profit and Margins
SECL's draft papers show a profitable, cash-generating coal miner whose earnings jumped in the first half of FY27:
| Period | Revenue from operations | Net profit (PAT) |
|---|---|---|
| FY25 | ₹29,998.3 crore | ₹4,540.4 crore |
| FY26 | ₹32,956.52 crore | ₹4,754.59 crore |
| H1 FY26 (six months to Sep 2025) | ₹15,090.2 crore | ₹1,140.9 crore |
| H1 FY27 (six months to Sep 2026) | ₹16,593.7 crore | ₹2,174.3 crore |
FY26 operating EBITDA stood at ₹7,423.77 crore, according to Business Standard's reading of the DRHP. Continuous-miner output rose 38.65% to 5.13 million tonnes in the six months to September 2026, a sign of mechanisation gains in underground mining.
Offer Structure: Who Gets What
Under the proposed allocation structure reported from the DRHP, not more than 50% of the net offer is reserved for qualified institutional buyers (QIBs), not less than 15% for non-institutional investors (NIIs) and 35% for retail individual investors. Because the issue is entirely an OFS, all proceeds will accrue to Coal India as the selling shareholder — none of the money goes to SECL's balance sheet, so investors are buying into the existing business, not funding a new expansion plan.
Why Coal India Is Listing Its Subsidiaries
SECL is the second Coal India subsidiary to move towards listing in recent months. Mahanadi Coalfields filed its draft papers in September 2026, and Bharat Coking Coal launched its public offering earlier in 2026. The push follows a Ministry of Coal office memorandum dated 16 December 2025 asking Coal India to take concrete steps to list SECL and Mahanadi Coalfields, with Coal India's board granting in-principle approval in December 2025. The broader aim is value unlocking for the state-owned parent by giving its large subsidiaries a direct market valuation.
What to Watch Before the SECL IPO Opens
- SEBI observations: the DRHP must clear SEBI before a price band and dates can be announced; any delay pushes the timetable.
- Price band and valuation: with FY26 PAT of ₹4,754.59 crore, the eventual band will decide whether the PSU miner is priced attractively against Coal India itself and other listed miners.
- Coal demand and energy transition: long-term coal demand, e-auction premiums, wage and environmental costs, and evacuation/rake availability are the key operating risks for a pure-play coal producer.
- OFS, not growth capital: since SECL receives no proceeds, the investment case rests on its existing mines, reserves and dividends rather than a funded expansion story.

Conclusion
The SECL DRHP puts one of India's largest coal producers on the road to listing, but investors will have to wait for the price band before judging value. On FY26 numbers it is a large, profitable miner — ₹32,957 crore revenue and ₹4,755 crore profit — and the 10% OFS gives the market a first direct stake in Coal India's second-largest subsidiary. Watch for SEBI's observations and the RHP for the dates, band and lot size.
