What does Shellz India do?

Shellz India Limited (incorporated in May 2012) is a confectionery manufacturer, marketer and supplier that also deals in food and bakery ingredients. Its portfolio spans more than 300 SKUs across chocolates, candies, jellies, baked treats and bakery ingredients.

The business is built around two brands:

  • Hugs — value-focused mass-market products: baked treats, chocolate-based confectionery, jellies, and pan-and-sugar confectionery sold through kirana stores.
  • Tosca — mass-premium products aimed at urban consumers, differentiated packaging, and a focus on e-commerce and quick-commerce channels (including Tosca Oat Choco bars).

Beyond its own brands, the company undertakes private-label manufacturing for third-party customers and exports to markets in the Middle East, South Asia and Europe. Distribution runs through more than 300 super stockists across approximately 24 states in India, backed by in-house manufacturing, product development, R&D and quality assurance. As of 31 August 2026 the company had 258 full-time employees.

Shellz India IPO financials

The restated financials show steady top-line growth with sharper margin expansion:

Metric (₹ crore)FY24FY25FY26Q1 FY27*
Total revenue162.81187.39193.1847.43
PAT5.258.3013.374.08
EBITDA margin11.66%12.19%15.65%—
PAT margin3.22%4.43%6.94%8.60%
Total assets147.04167.36213.72229.36

*Q1 FY27 = quarter ended June 2026. Revenue grew just 3.02% in FY26, but PAT jumped 61.05% as the EBITDA margin expanded to 15.65%. Key KPIs disclosed in the prospectus: ROE 26.87%, ROCE 19.11%, return on net worth 22.68%, NAV ₹67.63 and debt-to-equity of 1.71.

Where will the ₹59.97 crore go?

  • ₹22 crore — repayment or prepayment of certain outstanding borrowings
  • ₹23 crore — funding incremental working capital requirements
  • Balance — general corporate purposes

Because this is a 100% fresh issue, every rupee (after issue expenses) stays with the company. The ₹22 crore debt repayment will meaningfully de-lever a balance sheet carrying a 1.71 debt-to-equity ratio.

Valuation: what are you paying?

Promoters hold 88.11% pre-issue, diluting to about 63.64% after the issue. At the ₹179 upper band, the implied post-issue market capitalisation is roughly ₹216 crore. Against FY26 EPS of ₹15.37, the issue is priced at about 11.6x trailing earnings pre-issue, or roughly 15–16x on the fully diluted post-issue share count — a reasonable multiple for a profitable FMCG business with expanding margins, though investors should weigh it against the modest 3% revenue growth in FY26. The RHP names Annapurna Swadisht as a listed peer.

Shellz India IPO GMP today

Grey market trackers show a premium of ₹0 (0%) this morning over the ₹179 upper band, implying a flat listing near the issue price. GMP is market-reported and unofficial: it can change quickly and is not a prediction of the listing price. Check the latest IPO GMP today for live figures.

Strengths and risks

Strengths

  • 100% fresh issue — no promoter selling; proceeds fund debt repayment and working capital
  • Profit growth with margin expansion: PAT 5.25 → 13.37 crore in two years, EBITDA margin 11.66% → 15.65%
  • Pan-India distribution (300+ super stockists, ~24 states) plus exports and private-label revenue streams
  • Debt repayment from proceeds de-levers the balance sheet (D/E 1.71)
  • Reasonable ~11.6x trailing pre-issue P/E for a profitable consumer business

Risks

  • Slow top-line growth — revenue rose only ~3% in FY26; profitability did the heavy lifting
  • Competitive confectionery space with pricing pressure from much larger FMCG players
  • Working-capital-heavy model — ₹23 crore of the raise funds day-to-day needs
  • High promoter holding concentration (88.11% → 63.64%) and SME listing liquidity risk
  • Flat ₹0 GMP signals modest listing-pop expectations

Conclusion

Shellz India is one of the few FMCG/confectionery SME listings this year: a real, profitable 13-year-old business with expanding margins, pan-India distribution and a fully fresh issue priced at a reasonable multiple. The catch is the sluggish top-line growth, a competitive category and a flat grey market. The issue closes on Monday, 19 October, alongside Ravita Engineering and the other big-board IPOs opening this week — investors have until then to weigh the fundamentals.
